年报观察 | 富力接盘万达酒店的后遗症

观点网3月30日，富力地产披露了2024年年度业绩公告。
数据显示，富力地产全年业务额同比降落51.15%至177.01亿元，公司拥有人应占亏损177.1亿元，较2023年的201.64亿元收窄12.17%。尽管亏损幅度有所收窄，但整体业绩仍受房地产行业低迷与酒店业务调整的双重压力。
其业务额主要来自于物业发展、投资物业租金及酒店运营。其中物业发展的业务额由上年的278.11亿元下滑至115.17亿元，降幅达59%，交付面积同比降落44%至169.3万平方米，整体平均售价下滑至6800元/平方米；同期投资物业租金收入为8.33亿元。
另外，因资产减值及融资成本高企，富力地产于2024年净亏损为177.89亿元，对比上年同期略减。
财报中指出，本年度净亏损，一方面是由于中国房地产业连续低迷，导致房地产开发的业务额和毛利降落；另一方面是发展中物业及已落成持作待售物业进一步减值拨备以及其时附属公司的取消确认造成的亏损。2024年里，富力地产录得毛亏8.24亿元，上年同期毛利为19.19亿元。财报中提及，期内毛亏主要就存货作出减值拨备约26.43亿元，除去存货减值拨备，物业发展毛利率为4.4%，对比上年同期的13.1%有所下滑。
酒店业务
值得关注的是，这份业绩报告距离其2017年那场备受关注的万达酒店收购已过去七年，当年闪电接盘的战略选择，正接受市场的长期查验。
但曾被寄予厚望的酒店营运板块未能成为其业绩稳定器，2024年业务额由上年同期的63.65亿元减少至43.73亿元，降幅达31.3%。
截至去年年末，富力地产所有酒店数量下滑至22家，总建筑面积约为111.06万平方米，总客房数为7513间，分别由酒店管理集团如万豪国际酒店集团、洲际酒店集团、希尔顿酒店集团、凯悦酒店集团、雅高酒店集团管理。
回溯2017年，富力地产以199.06亿元从万达商业手中收购77家城市酒店资产，中途插足融创中国与万达的世纪交易，最终形成融创拿文旅、富力接酒店的三方格局。此后经过调整后，富力地产最终以189.55亿元的价格买下了73家万达酒店资产。
据了解，其时富力地产是以6折的价格拿下了万达的73家酒店，市场普遍认为富力是捡漏收购。然而，事与愿违，曾经的"捡漏"变成"烫手山芋"，酒店业务始终没有为富力带来红利。
收购当年，富力地产2017年年度业绩公告披露，酒店业务全年业务额为23.75亿元，但酒店经营处于亏损状态，全年亏损额为1.46亿元。
收购初期即面临资金压力考验。2017年财报显示，富力地产经营活动现金流继承录得负值，账面现金较2016年底大幅缩减。尽管公司通过发行永续债、资产证券化等方式缓解短期资金问题，但酒店行业同质化竞争加剧、红利本领有限的困境逐渐显现。
收购万达酒店后，于2018年1月初，富力所有酒店数量达88家，总客房数为26365间，成为全球最大的豪华酒店资产业主。
但收购的酒店资产始终没有为富力带来红利。
而由于资金流承压，富力开始亏损出售万达系酒店。2022年9月，富力地产拟向北京英协置业投资有限公司出售广州富京酒店管理有限公司100%股权，代价为5.5亿元。据了解，此次出售预计亏损653.7万元，所得款项用于偿债。据悉，2022年里，富力地产完成出售北京、福州以及镇江三处酒店资产，入账超12.45亿元。此后两年，富力地产仍继承推进酒店资产变现计划，积极物色相关机会。于2023年里相继出售武汉富力万达嘉华酒店、西安富力万达嘉华酒店以及长沙富力万达文华酒店。
债务危机
值得注意的是，2024年9月3日，富力地产发布黑幕消息，其附属公司兆晞有限公司、御逸有限公司及富力（香港）有限公司收到包管代理人通知，委任Frank Forensic and Corporate Recovery Limited 的 Chan Leung Lee与Yuen Tsz Chun为共同接管人，对旗下68家酒店及一幢写字楼实施资产接管。
此次接管是由于一笔未偿还的境外债务，具体金额为6.14亿美元，债权人之一为淡马锡旗下Seatown Private Credit Master Fund（持有18%份额）。这些酒店资产正是2017年富力地产收购的万达酒店资产包焦点部分。
这也是为什么其拥有酒店数量从2024年中期业绩报告的90家减少至上文提及的22家。富力地产以酒店资产组合为抵押的境外贷款因再融资失败，触发逼迫实验接管程序，导致资产控制权丧失，其财务影响也反映在2024年的财务体现中。
与此同时，这68家酒店是富力酒店业务营收的重要构成部分，接管后酒店业务营收将进一步缩减，进一步限制其业务活动性。
财报披露，2024年，酒店业务年度亏损达36.19亿元，同比2023年的9.04亿元亏损扩大近3倍，主要源于资产逼迫接管导致的减值计提。酒店分部资产从2023年的423.45亿元降落至2024年的143.49亿元，降幅达66%，直接反映伦敦项目出售及部分酒店被接管的影响。
同时，富力计划继承推进境内外剩余酒店资产出售，但市场不确定性导致交易时机和价格存疑。
债务体现上，2024年，富力地产总负债为2621.36亿元，较2023年的2884.76亿元有所降落，主要得益于伦敦资产出售带来的负债削减（减少约150亿元）。
其中活动负债总额为2438.16亿元，占比93%，短期偿债压力巨大。银行借款、境内债券、优先票据及其他借款总额为1135.49亿元，其中1035.69亿元将于12个月内到期偿还。
而其活动资产合计2121.41亿元，活动负债总额超活动资产约316.76亿元。活动比率仅0.87（<1），无法覆盖短期债务。
同时，现金储备匮乏，仅有现金及等价物7.87亿元，受限制现金30.76亿元，合计38.64亿元，远低于短期债务需求。
截至2024年12月31日，富力地产无未能按计划偿还银行及其他借款本金合计263.62亿元。此后至财务报表答应日期间，又有94.63亿元到期借款无法偿还。因此，总计884.75亿元的银行及其他借款已构成违约或交织违约。
同时，自2024年8月起，富力地产未能付出本金金额为319.03亿元的三笔优先票据总金额为10.42亿元的利息。
另外，富力地产宣布中国香港高等法院于2025年3月31日驳回了针对其两家全资附属公司（兆晞和富力香港）的清盘呈请。法院驳回清盘申请表明旗下子公司暂时避免了被逼迫清算的命运，保护了公司资产结构和运营连续性。短期可能提振投资者信心和避免焦点资产流失，长期仍需关注公司债务重组希望及连续经营本领。但富力地产负债结构风险未获根本改善，叠加债务违约与资产接管，其商业模式的可连续性将面临终极拷问。公司连续经营本领存疑，若无法完成债务重组或资产变现，可能被迫调整资产估值并进一步计提损失。
